Initially, the Secretary of the Company is appointed by the promoters of the company at the pre-incorporation stage. The company, after being registered, the appointment so made gets confirmed at the first meeting of the Board of Directors of the Company by passing a resolution. The meeting also fixes the remunerations and other allowances payable to the Secretary.
The said resolution may be worded as follows:
"RESOLVED: That Mr. 'A' of Mumbai is hereby appointed as Secretary of the Company on a monthly salary of Rs exclusive of allowances. The said appointment is subject to - month's notice of termination on either side."
Requisite Qualifications of Company Secretary:An individual to be eligible for appointment as company secretary must possess the following requisite qualities:
- Membership of the Institute of Company Secretaries of India.
- Passed the intermediate exam conducted by the Institute of Company Secretaries of India.
- Post-Graduate Degree in Commerce or Corporate Secretaryship granted by any University in India.
- Degree of Law granted by any University in India.
- Membership of the Institute of Chartered Accountants of India.
- Membership of the Institute of Cost and Works Accountants of India.
- Post Graduate Degree or Diploma in Management Sciences by any University or by the Institute of Management.
A Company Secretary must also have some other qualifications which is as follows:
- General Education
- Knowledge of Secretarial Works
- Knowledge of Economics
- Knowledge of Banking and Finance
- Knowledge of Company Law.
- Knowledge of Mercantile Law
- Knowledge of Booking Keeping ad Accountancy
- Knowledge of Meeting Procedure
- knowledge of Human Relations
- Leadership Abilities.
